1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Redivian Limited, a company incorporated under the Companies and Allied Matters Act (CAMA) 2020 of the Federal Republic of Nigeria ("Redivian", "we", "our", or "us").
By creating an account, accessing, or using any Redivian product or service — including Minttapp, DashDosh, CreditLens, Insights, or the Redivian Platform API (collectively, the "Services") — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and AML Policy, which are incorporated by reference.
If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" include that entity.
If you do not agree to these Terms, you must not access or use the Services. Continued use of the Services after any modification to these Terms constitutes acceptance of the revised Terms.
2. Eligibility
To use Redivian's Services, you must:
- Be at least 18 years of age
- Be a resident or registered entity within the Federal Republic of Nigeria
- Have the legal capacity to enter into binding contracts under Nigerian law
- Not be subject to any sanctions, restrictions, or prohibitions under Nigerian law or any applicable international sanctions regime
- Not have had a previous Redivian account terminated for breach of these Terms
Redivian reserves the right to refuse Service, suspend, or terminate accounts that do not meet these eligibility criteria or where we have reasonable grounds to believe that eligibility requirements have not been met.
3. Account Registration and Security
3.1 Account Creation
To access most Services, you must create a Redivian account by providing accurate, complete, and current information including your legal name, a valid email address, phone number, and identity verification documents as required by our KYC process. You agree to maintain the accuracy of this information and update it promptly when it changes.
3.2 Identity Verification
As a regulated financial services provider operating under CBN guidelines, Redivian is required to verify the identity of all users before granting access to financial services. This process (Know Your Customer, or KYC) may include verification of your BVN, NIN, government-issued ID, and in the case of business accounts, your CAC registration and beneficial ownership information. You consent to Redivian conducting these checks using approved third-party providers.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@redivian.com if you become aware of any unauthorised use of your account. Redivian is not liable for any loss arising from your failure to maintain account security.
3.4 One Account Per User
Each individual may maintain only one personal Redivian account. Business entities may maintain one business account. Creating multiple accounts to circumvent restrictions or KYC requirements is a material breach of these Terms.
4. Minttapp — Bills of Exchange
Minttapp is a marketplace and management platform for financial agreements structured as bills of exchange. By using Minttapp, you further agree to the following:
4.1 Nature of Agreements
Financial agreements created on Minttapp are legally binding instruments under the Bills of Exchange Act, Cap B8, Laws of the Federation of Nigeria 2004. By signing an agreement on Minttapp, you are entering into a legal commitment that is enforceable under Nigerian law. Redivian facilitates the creation and management of these agreements but is not a party to any agreement between users.
4.2 Lender Responsibilities
As a lender (creditor) on Minttapp, you are responsible for assessing the creditworthiness of borrowers before entering into agreements. Redivian provides tools including CreditLens integration and Insights to assist with due diligence, but does not guarantee the repayment of any agreement. Lending on Minttapp carries inherent financial risk.
4.3 Borrower Responsibilities
As a borrower (drawee) on Minttapp, you are legally obligated to fulfil the terms of any agreement you sign, including repayment of the principal and any agreed interest by the maturity date. Default may trigger Redivian's recovery process and may adversely affect your CreditLens profile.
4.4 Debt Trading
Minttapp allows creditors to sell or endorse their receivables to other users through the marketplace. Upon a successful sale or endorsement, the new holder assumes all rights of the original creditor. The borrower is notified of all transfers and retains the same obligations to the new holder.
4.5 Recovery Process
In the event of default, Redivian may initiate its bank-grade recovery process on behalf of the creditor. This process may include formal notices, engagement of recovery agents, and referral to appropriate legal channels. Redivian's recovery fees, where applicable, are disclosed at the time of agreement creation.
4.6 Spending Wallet
Minttapp uses a spending wallet system to manage exposure limits for active agreements. Funds allocated to active agreements are temporarily held in a spending wallet and released upon agreement completion, default resolution, or cancellation by mutual consent.
5. DashDosh — Digital Gifting
DashDosh enables users to send digital gifts with optional purpose tags and unlock conditions. The following terms apply:
- Gifts sent through DashDosh are funded from your verified Redivian wallet and are non-refundable once a recipient has redeemed them.
- You may set unlock conditions (such as a date or event trigger) for gifts. Redivian will honour these conditions as configured at the time of sending.
- Unredeemed gifts held in the system will not expire, but may be recalled by the sender subject to the unlock conditions specified at the time of sending.
- Corporate gifting features are subject to additional terms available in the DashDosh product documentation.
- DashDosh may not be used to send funds to sanctioned individuals or entities, or for purposes that violate applicable laws.
6. CreditLens — Credit Intelligence
CreditLens computes a financial reputation profile based on your dealing history within the Redivian ecosystem.
- Your CreditLens score is computed from data generated through your use of Redivian's Services, including Minttapp agreement performance, wallet activity, and other financial behaviours on the platform.
- You may share your CreditLens profile with third parties (such as lenders or business partners) on a consent basis. Each sharing event requires explicit approval from you.
- You have the right to access your CreditLens profile and dispute inaccurate data. Disputes are reviewed within 10 business days.
- Redivian does not guarantee that your CreditLens score will be accepted or recognised by any specific third-party institution.
- You may opt out of CreditLens profiling at any time through your account settings, subject to the limitation that opt-out does not delete historical transaction records required for regulatory compliance.
7. Redivian Platform API
The Redivian Platform API is available to registered developers and businesses to build financial products on Redivian's infrastructure. The following additional terms apply:
7.1 API Access
Access to the Platform API requires registration, approval, and execution of a separate API Developer Agreement. API keys are non-transferable and must be kept confidential. You are responsible for all activities conducted using your API key.
7.2 Permitted Use
The Platform API may only be used to build lawful financial products and services. You must not use the API to circumvent regulatory requirements, access data without appropriate user consent, or build products that compete directly with Redivian's own products in a manner that violates your Developer Agreement.
7.3 Rate Limits and Fair Use
API usage is subject to rate limits specified in the developer documentation. Excessive use that degrades service for other users may result in temporary or permanent suspension of API access.
7.4 Compliance Obligations
Developers using the Platform API to build financial products remain responsible for their own compliance with applicable Nigerian financial services regulations, including obtaining any required licences or approvals from the CBN, SEC, or other relevant regulators.
8. Prohibited Conduct
You must not use Redivian's Services to:
- Engage in money laundering, terrorist financing, or any other financial crime under Nigerian law
- Conduct transactions involving funds derived from illegal activities
- Impersonate any person or entity or misrepresent your identity or affiliation
- Provide false, misleading, or fraudulent information during KYC or in connection with any agreement
- Manipulate the Minttapp marketplace or engage in collusive agreement creation for the purpose of artificially inflating creditworthiness
- Reverse-engineer, decompile, or attempt to extract the source code of Redivian's applications or APIs
- Use automated tools, scrapers, or bots to access the Services except through approved API channels
- Circumvent security measures, access controls, or rate limits
- Harass, threaten, or engage in abusive conduct toward other users or Redivian staff
- Violate any applicable Nigerian law or regulation
Violation of these prohibitions may result in immediate account suspension, termination, reporting to relevant authorities, and civil or criminal liability.
9. Fees and Charges
Redivian charges fees for certain Services. The current fee schedule is available within each product and may be updated from time to time with reasonable notice. By using a fee-bearing Service, you authorise Redivian to deduct applicable fees from your Redivian wallet or the transaction amount.
Fees are non-refundable except where required by law or where a Service fails to be delivered due to a fault on Redivian's part. In the case of disputed fees, contact support@redivian.com within 30 days of the transaction.
10. Intellectual Property
All intellectual property rights in the Redivian Services, including software, designs, trademarks, brand assets, documentation, and content created by Redivian, are owned by or licensed to Redivian Limited. Nothing in these Terms grants you any right to use Redivian's intellectual property except as strictly necessary to use the Services.
You retain ownership of any content you submit through the Services. By submitting content, you grant Redivian a non-exclusive, royalty-free licence to use, process, and display that content to the extent necessary to provide the Services.
11. Limitation of Liability
To the maximum extent permitted by Nigerian law, Redivian's total liability to you for any claim arising from or related to these Terms or the Services shall not exceed the fees paid by you to Redivian in the three months preceding the event giving rise to the claim, or ₦50,000, whichever is greater.
Redivian is not liable for: loss of profits, loss of data, indirect or consequential losses, losses arising from the actions or defaults of other users, losses arising from your failure to maintain account security, or losses resulting from circumstances beyond our reasonable control (force majeure).
Nothing in these Terms excludes liability for death or personal injury caused by Redivian's negligence, fraud, or fraudulent misrepresentation, or any liability that cannot be excluded under applicable Nigerian law.
12. Termination
You may close your Redivian account at any time by contacting support@redivian.com, subject to the settlement of any outstanding obligations including active Minttapp agreements and outstanding wallet balances.
Redivian may suspend or terminate your account with immediate effect if you breach these Terms, fail to complete required KYC verification, are subject to legal proceedings or regulatory sanctions, or if continued operation of your account poses a risk to other users or to the platform. Where possible, we will give you notice before termination and an opportunity to remedy the breach.
Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including data retention obligations, dispute resolution, and limitation of liability — will continue to apply.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days.
If the dispute is not resolved through negotiation, either party may refer the matter to mediation administered by the Lagos Multi-Door Courthouse (LMDC) or another mutually agreed mediation body. If mediation fails, disputes shall be submitted to arbitration in Lagos, Nigeria under the Arbitration and Conciliation Act, Cap A18, LFN 2004, with proceedings conducted in English.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a Nigerian court of competent jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and in-app notification at least 14 days before the changes take effect. The updated Terms will be posted at redivian.com/terms. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms.

This policy applies to all products and services offered by Redivian Limited, including:
- Minttapp — Bills of exchange marketplace for structured lending and debt trading
- DashDosh — Digital gifting platform for individuals and businesses
- CreditLens — Non-banking credit scoring and financial reputation platform
- Insights — Business due diligence and financial intelligence
- Redivian Platform — Developer API for financial infrastructure
